Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OrbChain crypto payment gateway, including the API, merchant dashboard, and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

OrbChain provides cryptocurrency payment processing infrastructure that enables merchants to accept crypto payments from their customers. The Service includes:

• Generation of unique deposit addresses for receiving cryptocurrency payments
• Real-time payment detection and webhook notifications
• Cryptocurrency payout processing
• A merchant dashboard for managing payments, payouts, and API keys
• A RESTful API for programmatic integration

OrbChain provides infrastructure only. We are not a financial institution, money transmitter, exchange, or custodial wallet service.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
• Not be a person or entity subject to sanctions by the United Nations, European Union, or any other applicable sanctions regime.
• Not be located in, incorporated in, or a resident of any restricted jurisdiction.

3. Account Responsibilities

When you create an OrbChain account:

• You must provide a valid email address that you control.
• You are solely responsible for maintaining the confidentiality of your API keys. Treat API keys as passwords — do not share them, commit them to public repositories, or expose them in client-side code.
• You are responsible for all activity that occurs under your account, including actions taken through your API keys.
• You must notify OrbChain immediately at [email protected] if you suspect unauthorized use of your account or API keys.

4. Acceptable Use

Merchants are responsible for complying with all laws and regulations applicable to their own business and jurisdiction. OrbChain provides payment infrastructure and does not evaluate or endorse any particular merchant's business model.

4.1 Prohibited Activities

You may not use the Service for:

• Terrorism financing or support of designated terrorist organizations
• Sanctions evasion or circumvention of any applicable sanctions regime
• Fraud, phishing, or social engineering schemes
• Money laundering or structuring of transactions to avoid reporting thresholds
• Child sexual abuse material (CSAM) or exploitation of minors
• Ransomware payments or extortion
• Sale of stolen goods, data, or credentials

4.2 Permitted Activities

Gambling, adult content, and other activities that are legal in some jurisdictions but not others are permitted on OrbChain's platform. Merchants engaged in such activities are solely responsible for ensuring their own compliance with applicable local laws.

5. Fees

• Transaction fee: 0.4% of each incoming payment, deducted automatically at the time of settlement.
• Network fees: Blockchain network fees (gas fees, miner fees) for payouts are separate and borne by the merchant. These vary by network and are displayed at the time of payout.
• No hidden fees: There are no setup fees, monthly fees, or minimum volume requirements.

OrbChain reserves the right to modify the fee structure with 30 days advance notice to registered merchants via email. Continued use of the Service after the notice period constitutes acceptance of the updated fees.

6. Payouts

Payout requests submitted through the API or dashboard are processed within 24 hours of the request under normal operating conditions. OrbChain is not liable for delays caused by:

• Blockchain network congestion or technical issues
• Incorrect wallet addresses provided by the merchant
• Temporary account holds pending compliance review
• Maintenance windows (announced in advance when possible)

Payouts to sanctioned blockchain addresses (OFAC SDN list) will be blocked. OrbChain is not responsible for funds sent to incorrect addresses — blockchain transactions are irreversible.

7. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. OrbChain does not guarantee:

• Uninterrupted or error-free operation of the Service
• Any specific uptime percentage
• That the Service will meet your specific requirements

To the maximum extent permitted by law, OrbChain's total aggregate liability for any claims arising out of or related to the Service is limited to the total fees paid by you to OrbChain in the 12 months preceding the claim.

OrbChain is not liable for:

• Blockchain network failures, forks, or reorganizations
• Cryptocurrency exchange rate fluctuations
• Loss of funds due to merchant's failure to secure API keys
• Regulatory actions taken against the merchant by any governmental authority
• Any merchant's regulatory non-compliance
• Indirect, incidental, consequential, special, or punitive damages

8. Intellectual Property

The OrbChain name, brand, logo, API, dashboard, documentation, and all associated software and content are the proprietary property of OrbChain and are protected by applicable intellectual property laws.

Subject to these Terms, OrbChain grants you a limited, non-exclusive, non-transferable, revocable license to use the API and dashboard solely for the purpose of integrating OrbChain's payment processing into your own products and services.

You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.

9. Termination

9.1 Voluntary Termination

Either party may terminate this agreement with 30 days written notice. To terminate your account, contact [email protected] or use the account deletion feature in the dashboard.

9.2 Termination for Cause

OrbChain may immediately terminate or suspend your account without notice if:

• You violate any provision of these Terms
• You engage in any prohibited activity listed in Section 4.1
• We are required to do so by law or legal process
• Your account poses a security risk to the Service or other users

9.3 Effect of Termination

Upon termination, all pending payouts with confirmed blockchain transactions will be processed. Your API keys will be immediately revoked. Account data will be handled in accordance with our Privacy Policy.

10. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted in English.

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws provisions.

Each party waives the right to participate in class actions or class-wide arbitration.

11. Indemnification

You agree to indemnify, defend, and hold harmless OrbChain, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim by a third party related to your use of OrbChain's payment infrastructure

12. Modifications to Terms

OrbChain reserves the right to modify these Terms at any time. Material changes will be communicated to registered merchants via email with at least 30 days notice. The updated Terms will also be posted on this page with a revised effective date.

Continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and AML/CFT Policy, constitute the entire agreement between you and OrbChain regarding the use of the Service.
